Effective Date: December 6, 2025

This Vendor Agreement (“Agreement”) is a legal contract between SEAMAE TECHNOLOGY COMPANY LIMITED (“Seamae,” “we,” “us”) and you (“Vendor,” “Seller,” “you”).

By registering as a Vendor, purchasing a Seller Subscription, or listing products on seamae.store, you agree to be bound by the terms of this Agreement.

1. Vendor Membership & Subscriptions

To maintain a high-quality marketplace and filter out spam accounts, Seamae operates on a paid membership model. You must subscribe to one of the following packages to activate your selling privileges:

  • Quarterly Plan: $5.00 USD (billed every 3 months).

  • Lifetime Plan: $19.00 USD (one-time payment for permanent access).

Note:

  • Subscription fees are non-refundable, even if you choose to close your store or if your account is suspended due to policy violations.

  • We reserve the right to modify these rates for new subscriptions with prior notice.

2. Commission Fees

In addition to the membership fee, Seamae charges a transaction fee on every successful sale to cover payment gateway costs, platform maintenance, and marketing.

Fee Structure: For every product sold, Seamae deducts a commission calculated as follows:

Commission = 6% of the Sale Price + $1.00 USD (Fixed Fee)

  • Example: If you sell a software key for $100.00:

    • 6% of $100 = $6.00

    • Fixed Fee = $1.00

    • Total Fee deducted: $7.00

    • Your Net Earning: $93.00

This fee is deducted automatically at the time of the transaction.

3. Vendor Obligations

As a Seller on Seamae, you warrant and agree to:

  • Legal Ownership: Only list items you have the full legal right to sell. Selling cracked software, stolen accounts, or malware is strictly prohibited.

  • Accurate Descriptions: Provide accurate images and descriptions. You are responsible for any “Item Not as Described” claims.

  • Delivery: Ensure “Instant Delivery” products are stocked in the system. For manual delivery items, you must fulfill the order within 24 hours.

  • Support: Respond to customer inquiries and dispute messages within 24-48 hours.

4. Payouts (Withdrawals)

  • Schedule: Sellers can request a payout of their “Net Earnings” via the Vendor Dashboard.

  • Holding Period: To ensure funds are available for potential refunds, earnings from a sale typically become available for withdrawal after 7-14 days (depending on your Seller Level).

  • Minimum Threshold: The minimum amount required to request a payout is $25.00 USD.

  • Methods: Payouts are processed via PayPal, Payoneer, or Bank Transfer (SWIFT). You are responsible for any receiving fees charged by your bank.

5. Refunds & Chargebacks

  • Seller Responsibility: If a customer requests a refund due to a defect in your product (e.g., invalid key) or non-delivery, the cost of the refund will be deducted from your account balance.

  • Commission Reversal: If an order is fully refunded to the customer, Seamae will refund the 6% percentage commission to you, but the $1.00 fixed fee may be retained to cover processing costs.

  • Disputes: If Seamae must intervene in a dispute and decides in favor of the Buyer, our decision is final.

6. Account Suspension & Termination

Seamae reserves the right to suspend or terminate your Vendor account immediately if you:

  • List prohibited items (see Prohibited Products Policy).

  • Attempt to direct Seamae customers to pay outside the platform (Fee Avoidance).

  • Engage in fraudulent activity or have a high chargeback rate.

  • Fail to pay subscription fees.

7. Independent Contractor

You acknowledge that you are an independent business entity and not an employee, agent, or partner of Seamae Technology Company Limited. You are solely responsible for reporting and paying any taxes applicable to your earnings in your own jurisdiction.
