These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and SEAMAE TECHNOLOGY COMPANY LIMITED (“Seamae,” “we,” “us,” or “our”), regarding your access to and use of the seamae.store website (the “Site”) and our related services (collectively, the “Services”).

By accessing the Site, creating an account, or purchasing/selling products, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Nature of the Marketplace

Seamae operates as a digital marketplace platform that connects:

  • “Buyers”: Users who purchase digital goods or services.

  • “Sellers” (or Vendors): Users who list and sell digital goods, software, keys, or accounts.

Important Disclaimer: Unless explicitly stated otherwise, Seamae acts solely as an intermediary platform facilitating transactions. We are not the creator or direct seller of the items listed by third-party Sellers. Contracts for the purchase of products are directly between the Buyer and the Seller.

2. User Accounts

  • Registration: To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during the registration process.

  • Security: You are responsible for safeguarding your password. You agree to notify us immediately of any unauthorized use of your account.

  • Seller Verification: If you register as a Seller, you may be required to provide additional identity verification documents (KYC) to comply with anti-money laundering laws and payout requirements.

3. Buying on Seamae

  • Order Acceptance: When you place an order, you are making an offer to purchase. The contract is formed when payment is successfully processed and the digital content is delivered.

  • Delivery: Digital products (license keys, download links, account credentials) are typically delivered immediately via email or dashboard upon payment confirmation.

  • Refunds: All purchases are subject to our Refund Policy. Please review the policy carefully before buying, as digital goods are generally non-refundable once accessed.

4. Selling on Seamae

  • Listing Content: Sellers are solely responsible for the accuracy and legality of their listings. You represent that you have the full right and authority to sell the digital goods listed.

  • Prohibited Items: You may not list counterfeit software, stolen accounts, malware, or any content that violates intellectual property rights.

  • Commission & Fees: Seamae charges a commission fee on each successful sale. This fee is deducted automatically from the transaction amount before the net proceeds are credited to the Seller’s balance.

  • Payouts: Sellers can request payouts in accordance with our Payout Schedule. We reserve the right to withhold payouts if we suspect fraud or policy violations.

5. Payments & Taxes

  • Payment Processors: We use third-party payment processors (such as Stripe, Google Pay, Apple Pay) to handle transactions. Your payment information is processed securely by these providers.

  • Taxes: Sellers are responsible for determining, collecting, and remitting any applicable taxes (VAT, GST, sales tax) associated with their sales, unless Seamae is required by law to collect such taxes on their behalf (e.g., in certain jurisdictions).

6. Intellectual Property

  • Platform Content: The Seamae website, logo, design, and code are the intellectual property of SEAMAE TECHNOLOGY COMPANY LIMITED.

  • User Content: Sellers retain ownership of the content they upload but grant Seamae a license to display and promote said content on the platform.

  • Copyright Infringement: We respect intellectual property rights. If you believe a listing violates your copyright, please report it to us immediately under our Copyright Usage Policy.

7. Prohibited Conduct

You agree not to:

  • Engage in fraudulent transactions or money laundering.

  • Distribute viruses or harmful code.

  • Use the platform to harass other users or collect data without consent.

  • Circumvent our fee structure (e.g., directing Buyers to pay outside the platform).

8. Limitation of Liability

To the maximum extent permitted by law, Seamae provides the Service on an “AS IS” and “AS AVAILABLE” basis. We do not guarantee that the Service will be uninterrupted or error-free. Seamae shall not be liable for any indirect, incidental, or consequential damages arising from:

  • The use or inability to use the Service.

  • The conduct or content of any third-party Seller.

  • Any unauthorized access to your data.

9. Termination

We reserve the right to suspend or terminate your account (Buyer or Seller) at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users or our business interests.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any disputes arising out of or in connection with these Terms shall be resolved via amicable negotiation. If negotiation fails, the dispute shall be submitted to the competent courts in Da Nang, Vietnam.
