This Global Vendor Partnership Agreement (“Agreement”) governs the relationship between SEAMAE (“we,” “us,” or “our”) and the independent seller (“Vendor,” “Seller,” or “you”). By activating a Seller Subscription or listing assets on https://seamae.store, you agree to these terms in their entirety.


1. Vendor Onboarding & Mandatory KYC

To maintain marketplace integrity and comply with international Anti-Money Laundering (AML) standards, all Vendors must undergo Identity Verification (KYC/KYB).

  • Privacy-First Architecture: Verification is performed by our regulated third-party partners (e.g., Stripe Identity, SumSub). SEAMAE does not store your sensitive identity documents.

  • Requirement: Selling privileges and payouts are strictly withheld until verification is successfully completed.

  • Subscription Models: To prevent platform “sybil” attacks and spam, Vendors must maintain an active subscription:

    • Quarterly Tier: $5.00 USD (Renewed every 90 days).

    • Enterprise Lifetime: $19.00 USD (One-time platform access fee).

    • Note: Subscription fees are non-refundable and contribute to platform security and marketing.


2. Marketplace Commission & Fees

SEAMAE facilitates global traffic and secure escrow for your digital assets. For these services, a transaction fee is automatically deducted from each sale.

The commission is calculated using the following formula:

Total Fee = (Sale Price X 0.06) + $1.00

Example: On a $100.00 sale, the commission is $6.00 (6%) plus a $1.00 fixed transaction fee. Your net credit will be $93.00.


3. Vendor Warranties and Obligations

By listing an asset, you represent and warrant that:

  • IP Integrity: You are the legal owner or authorized licensor of the software/digital asset. Sale of “Nulled,” “Cracked,” or unauthorized keys is a material breach.

  • Operational SLA: * Instant Assets: Must be kept in stock for automated delivery.

    • Manual Assets: Must be delivered within 24 hours of purchase.

    • Support: You must respond to Buyer inquiries within 48 hours.

  • Anti-Poaching: You shall not attempt to circumvent SEAMAE’s fees by soliciting Buyers to pay via external methods (“Fee Avoidance”).


4. The Payout Workflow & Escrow

To mitigate “Chargeback Fraud” and ensure Buyer satisfaction, SEAMAE utilizes a rolling escrow period.

  • Holding Period: Funds from a sale are moved to a “Pending” state for 7 to 14 days (based on your Vendor Trust Level).

  • Minimum Threshold: $25.00 USD.

  • Payout Channels: Payouts are disbursed via Revolut (Global/EEA/UK/USA) or Stablecoin (USDC/USDT).

  • Taxes: You are an independent contractor. You are solely responsible for reporting and paying taxes (VAT/Income) in your home jurisdiction.


5. Refunds, Chargebacks, and Indemnity

  • Defect Liability: If a product is proven defective (e.g., an invalid key), the full refund is deducted from your balance.

  • Fee Retention: In the event of a refund, SEAMAE refunds the 6% commission to the Vendor, but the $1.00 fixed fee is retained to cover non-refundable gateway processing costs.

  • Indemnification: You agree to indemnify SEAMAE against any legal claims, damages, or IP infringement lawsuits arising from the assets you list on the platform.


6. Termination and Fund Withholding

SEAMAE reserves the right to suspend your account and freeze your balance indefinitely if:

  1. You are suspected of Money Laundering or Fraud.

  2. You list any items found in our Prohibited Products Policy.

  3. Your “Defect Rate” or “Chargeback Rate” exceeds 2% of total sales.

  4. You fail to maintain a valid KYC status.


7. Governing Law

This Agreement is governed by the Laws of England and Wales. Any disputes that cannot be resolved via our internal Arbitration process shall be settled in the courts of London, United Kingdom.
